Acquisitions and Dispositions
This firm has extensive experience representing both buyers and sellers in connection with the transfers and mergers of businesses of all sizes. Our legal counsel to clients in such situations includes not only the basic corporate law questions, but also tax, employee pension and estate planning ramifications of such transactions.

 

Anti-Trust
Damon & Morey LLP provides general legal counseling as well as defense or prosecution of specific antitrust claims on behalf of its business clients. In addition, the firm renders antitrust services in connection with mergers and acquisitions.

 

Banking and Finance
Damon & Morey LLP has served as counsel to several leading Western New York banks in a variety of contexts. Included in that representation is the preparation and negotiation of documentation required for commercial lending transactions of all types including term loans, revolving credit arrangements, industrial development revenue bonds, and letters of credit. In addition, the firm represents borrowers in commercial financing transactions, including the negotiation of loan agreements and the development and restructuring of management buy-outs, employee stock ownership plans and acquisitions.

 

Bankruptcy and Creditor’s Rights
This firm regularly represents both debtors and creditors in all aspects of bankruptcy matters and bad debt workout situations, including preparation and negotiation of reorganization plans. The firm is intent upon fully exploring ways of achieving the client’s best interests outside the bankruptcy context through loan workouts and other restructuring.

The firm regularly provides legal counsel to its corporate clients in the areas of trademark and copyright law, including registration of clients’ trademarks and copyrighted materials and preparing and negotiating licenses and assignments of trademarks and copyrights.

 

International
Consistent with the significant amount of economic activity between the United States and Canada, this firm serves as local counsel to many Canadian businesses with subsidiaries or branch offices in the United States. In addition, the firm has served as local counsel to European and Asian corporations. The firm’s legal advice to these clients encompasses basic corporate law issues as well as customs, immigration and international trade and finance issues.

 

Securities and Venture Capital
Damon & Morey LLP actively assists its clients in connection with public and private financing transactions, federal and state securities filings and registrations, mergers and acquisitions, corporate restructuring and compliance with the respect to insider trading and the sale of restricted securities. The firm has represented securities brokers and dealers in disputes with customers in disciplinary matters before administrative agencies.
